Supplier Tooling Agreement

This document is not suitable for a particular relationship or even for a given country. This document only deals with the issue of ownership after all fees have been paid. It does not address the issue of payment design or structure. There will be only one framework for you and your employees for the first discussions with your existing and potential factories. In addition to this tool agreement, we have also made available to our customers a form of tool description inventory to keep an overview of all the tools provided. In the appendix, you will find a form version of the tool ownership agreement for your use. You can use it in the future with all your existing and potential factories, although we have to change it easily depending on the country, and we obviously have to change it according to the agreement you make with each of your factories. This agreement must cover all possibilities relating to the source of the tools: manufacture, manufacture by a third party or the tools you provide. Please note that with this email, our goal was to provide the customer with a standard framework that they can use to discuss the possession of the tool with their various factories. This email is not intended to outline everything that should be concluded in a tool ownership agreement. I do this here to give an idea of what is in the most fundamental and general international agreement on the ownership of tools.

One of the international lawyers in my law firm recently entered into a tooling model [Mold] Ownership Agreement for one of our clients who has their products manufactured in factories in several countries. This tooling ownership agreement is essentially a model for this single client, and it has yet to be defined for the different tools of this client or for the different countries where its tools are sent. This customer is in the process of diversifying its suppliers. Here is an email we sent to this customer, heavily modified to hide all identifiers and has been shortened for simplification reasons. _____ has the right to request at any time and for any reason that ____ a piece of tooling be provided. Upon receipt of the notification, the CONTRACTOR shall make these tools available at its own expense within 10 (10) working days in the premises where the tools for collection are located. ____ retrieves the tools at the location and covers all pick-up and loading costs, but the CONTRACTOR provides _____ appropriate assistance if necessary. The ENTREPRENEUR may not use the tools or confidential information for any purpose other than the manufacture of the product for ____ Any use by the ENTREPRENEUR of the tools intended for the manufacture of products or the sale of products to third parties other than ___ constitutes a violation of this agreement. . . .
